We will work diligently, competently and efficiently with clients and the various transaction parties, (including realtors, lenders, attorneys, title companies, landlords, tenants, appraisers, qualified intermediaries, inspectors, surveyors, engineers and governmental representatives) to negotiate, review and consummate the many contractual, financial, title and general business issues that are associated with all aspects of real estate matters.

Our Commercial Real Estate team of attorneys has collectively, over many years of practice, honed and developed their real estate transaction skills and experience to advise and counsel clients with regard to a diverse array of legal issues affecting the acquisition, sale, lease, management, development and financing of commercial real estate. Such services provided by CLDDS include:

  • Counseling clients with regard to the sale and/or acquisition of land, investment properties, office buildings, industrial warehouses, businesses, properties, apartment buildings, housing developments, residential and commercial condominiums and other business and industrial properties. Our services include the preparation, negotiation and finalization of contracts, performing due diligence, obtaining title searches and facilitating investigations, governmental compliance, reviewing, negotiating and resolving mortgage financing and conducting closings.
  • Helping clients navigate the complex world of commercial mortgage loans, construction financing, mortgage modifications, purchase money financing, SBA financing, “hard money” financing, re-financing and other sources of funding for the acquisition and/or improvement of commercial properties.
  • Providing guidance to real estate developers and sponsors in the procurement of registration approvals from the New Jersey Department of Community Affairs with regard to planned unit developments, age restricted communities and condominiums in connection with the Planned Real Estate Development Full Disclosure Act (PREDFDA).
  • Representing developers, sponsors and community associations with regard to the creation and operation of residential, commercial and industrial condominium projects and condominium conversions (including the preparation of master deeds, by-laws, rules and regulation, corporate and all other applicable governance documents).
  • Representing landlords and tenants in the negotiation, preparation, evaluation and resolution of commercial leases.
  • Advising clients with regard to structuring Section 1031 Tax Deferred Exchanges of commercial real estate pursuant to Section 1031 of the Internal Revenue Code, with the assistance of experienced Qualified Intermediaries.
  • Representing developers and other property owners with regard to the negotiation and preparation of deeds of easement, deeds of dedication, restrictive covenants, homeowner association governance documents and similar documents and instruments.
  • Representing clients with regard to Marina issues, riparian grants, transfers and other riparian rights and tidelands issues.
  • Representing property owners and developers with regard to land use applications, zoning and master plan issues, site plans, subdivisions and variance applications before municipal and county zoning and planning boards and related governmental agencies.
  • Handling water allocation and sewer moratorium disputes, title disputes, environmental issues involving the New Jersey Department of Environmental Protection and municipal redevelopment zone issues.
  • Pursuing commercial real estate tax appeals for the benefit of aggrieved property owners before municipal and county tax boards and, if necessary, the New Jersey Tax Courts.
  • Representing private and institutional mortgage lenders with respect to loan and refinance transactions, loan document preparation, loan participation agreements, inter-creditor agreements, loan transaction legal reviews, troubled loan work-outs and foreclosures.
  • Researching, preparing and issuing Opinion Letters on behalf of in-state and out of state clients seeking financing for New Jersey properties from private and/or institutional lenders.
  • Pursuing loan “work outs” wherein we counsel and advocate for our clients to restructure, modify and work out commercial real estate loans that have succumbed to the difficult economic times. Our goal is to prevent foreclosure and to preserve the equity and viability of the client’s interests in such commercial property. If such work-out efforts fail, we then assist clients in defending foreclosure actions.
